Terms of Service

These Terms of Service govern your access to and use of the Prioflo website, application, integrations, subscriptions, and related services. By accessing or using Prioflo, you agree to these Terms.

If you do not agree to these Terms, do not use Prioflo.

1. Eligibility and account responsibility

You must be legally able to enter into these Terms and responsible for your use of the service. Prioflo is not intended for children under 13. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Your use of Prioflo

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Prioflo for its intended purposes.

• You may use Prioflo to manage personal or collaborative work, create content, connect supported integrations, and use available productivity features.
• You may not use Prioflo in a way that violates law, infringes intellectual property or privacy rights, harms others, interferes with the service, or attempts to access data or systems you are not authorized to access.
• You may not reverse engineer, probe, scrape, overload, disrupt, or circumvent technical or security protections in the service except where prohibited by applicable law.

3. Content you provide

You retain ownership of the content you submit to Prioflo, such as tasks, notes, workspace records, reports, and other materials you create. You grant us the rights reasonably necessary to host, store, process, transmit, and display that content in order to operate and improve the service for you and, where applicable, for the collaborators you choose to work with.

4. Shared workspaces and collaboration

If you use shared workspace features, some content may become visible to other workspace members based on the permissions and sharing model of that workspace. You are responsible for the content you create, upload, sync, or share in shared workspaces and for deciding what information you place into collaborative environments.

Workspace owners are responsible for managing invitations, members, permissions, and shared workspace content. Members are responsible for using shared content only as permitted by the workspace owner and applicable law.

5. Beta and experimental features

Some Prioflo features may be labeled beta, experimental, early access, or otherwise limited. These features may change, be limited, be interrupted, or be removed at any time as the product evolves.

6. Integrations and third-party services

Prioflo may let you connect third-party services such as Google Calendar or Gmail. Your use of those services is also governed by the third party’s own terms and privacy policies. We are not responsible for third-party services, their availability, or their practices.

The availability, speed, and completeness of integration features may depend on the connected provider, your permissions, and the provider’s own systems, policies, or outages.

Imported, synced, reviewed, or transcribed content may be delayed, incomplete, reformatted, or inaccurate. You should review important items before relying on them for scheduling, planning, reminders, reports, or other decisions.

7. Paid features, trials, subscriptions, and billing

Some Prioflo features require a paid subscription, trial, gift, or other billing relationship. Pricing, plan features, trial details, renewal timing, cancellation terms, and other purchase details shown at checkout or in the product are part of these Terms.

Payments and subscription management may be handled by Stripe. By starting a paid plan or trial, you authorize the applicable charges, renewals, and payment handling shown to you at checkout. Your subscription may renew automatically unless canceled according to the billing flow available to you.

You can cancel eligible subscriptions through the Manage Billing flow where available. Cancellation generally stops future renewals and may leave paid access active until the end of the current billing period unless the product or billing provider says otherwise.

We do not promise refunds, credits, prorations, or price adjustments unless they are required by law or expressly stated in the checkout, billing portal, or a written policy that applies to your purchase.

If payment fails, a subscription is canceled, a trial ends, billing information is invalid, or access cannot be verified, we may limit, suspend, downgrade, or remove paid features until the issue is resolved.

Deleting your Prioflo account does not replace canceling a paid subscription through the billing flow. If you have an active paid subscription, use Manage Billing or contact support before deleting your account if you need help with cancellation.

8. Intellectual property

Prioflo and its related branding, software, design, visual assets, and other platform materials are owned by Prioflo or its licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

9. Service availability and changes

We may modify, suspend, or discontinue any part of Prioflo at any time, including features, integrations, availability, plans, pricing, or supported workflows. Prioflo is provided on an as available basis, and we do not guarantee uninterrupted availability of the service, any feature, or any third-party integration.

10. Feedback

If you submit feedback, suggestions, or ideas to us about Prioflo, you agree that we may use them without restriction or obligation to you, unless we expressly agree otherwise in writing.

11. Disclaimer of warranties

To the fullest extent permitted by law, Prioflo is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Prioflo and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to your use of the service.

To the fullest extent permitted by law, our aggregate liability for claims arising out of or related to Prioflo will not exceed the greater of the amount you paid us for the service in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars (US $100).

13. Suspension and termination

We may suspend or terminate your access to Prioflo if we believe you violated these Terms, created risk for the service or other users, failed to pay amounts due, or if we are required to do so by law. You may stop using the service at any time and may delete your account where that option is made available.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and may provide additional notice where appropriate. Your continued use of Prioflo after the updated Terms become effective means you accept the revised Terms.
